CONDITIONAL LIFETIME WARRANTY

(subject to exceptions below)
One Source warrants its manufactured products are free of defects in design, material and workmanship for as long as the original purchaser owns them. If written notice of the defect is given to One Source within the applicable warranty period, One Source will repair or replace with comparable product, at One Sourc's choice, without charge to the original purchaser, which fails under normal use as a result of such defect.

Exceptions
The following are exceptions from the lifetime warranty:

One Year Warranty: Millwork, Laminate self-edges, Veneer Tops, Soft Molded Edge Tops, Rainbow Tops,

Quarry Resin Tops, Indoor Hospitality Chairs & Bases, Outdoor Tables & Bases.
Five Year Warranty: Booths
Items not manufactured by One Source are covered by the Manufacturer Warranty, including: Chairs,

Adjustable Height Pedestals, electrification, network accessories, laminate and solid surface material.
Exclusions From Warranty:

o Normal wear and tear
o Customer’s own material (COM)
o Any product that has been abused, altered or subjected to any use other than that which was

originally intended
o Outdoor cushions
o Any product cleaned with a solvent-based cleaner
o Products that were not installed, used, or maintained in accordance with product instructions and

warnings
o Matching of color, grain and texture of wood due to natural variations, which cannot be controlled

At One Source's sole discretion, we will repair or replace any item determined by One Source to be defective as a result of manufacturing defects. In no event shall liability under this warranty exceed the current depreciated price of the defective product.

ONE SOURCE'S LIMITED WARRANTY IS PROVIDED IN LIEU OF ALL OTHER WARRANTIES EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE HEREBY SPECIFICALLY DISCLAIMED. ONE SOURCE WILL NOT BE RESPONSIBLE FOR CONSEQUENTIAL OR PUNITIVE DAMAGES. ONE SOURCE NEITHER ASSUMES NOR AUTHORIZES ANY PERSON TO ASSUME FOR IT ANY OTHER OBLIGATION OR LIABILITY IN CONNECTION WITH THE SALE OF ANY ITEM OR ANY PART THEREOF.

Labor
Labor reimbursement for repairs, replacements or storage due to warranty issues is not covered by One Source's warranty plan. Invoices for labor charges on warranty items will not be honored unless approved in advance by VP of Sales. If approved, labor is limited to the following maximum amounts: $30 per hour. Any approved labor will be issued as a credit on account.

Non-Obsolescence Statement
One Source is committed to providing customers with products of comparable aesthetics and function for the life of the warranty period. Despite an effort to maintain full availability of our products, components or materials may become discontinued by our suppliers or by our continuing commitment to produce outstanding quality products. This includes, but is not limited to, finishes, accessories, laminates, and other functional components. Products qualifying for replacement under warranty will be replaced with products of most similar function or aesthetics in the event the identical product is no longer available, at the sole discretion of One Source. In no instance will One Source replace items not qualifying for warranty replacement due to not matching a warranty replacement item.

Legal Disclaimer
This warranty is the Customer’s sole remedy for product defect. This warranty does not cover damage by a carrier in transit. One Source makes no warranties, including the implied warranties of merchantability or fitness for a particular purpose, other than the expressed warranties contained herein. There are no other warranties express or implied. One Source shall not be liable for consequential or incidental damages arising from any product defect.

CHAIR WARRANTY

LIMITED WARRANTY AND EXCLUSIVE REMEDY:

One Source Retail & Hospitality warrants that during a period of:

five (5) years, for indoor wood chairs and barstools;
two (2) years, for outdoor chairs, barstools, and sofas (excluding cushions; and pavilions, cabanas and components thereof);
one (1) year, for indoor and outdoor tables, table tops, and bases; and
one (1) year, for cushions (excluding fabric covered by the manufacturer's warranty) from the date of shipment, such goods shall be free from structural defects under normal use and service.

If, during such specified period, such goods shall fail to perform in accordance with One Source Retail & Hospitality’s specifications, One Source Retail & Hospitality shall, at its expense and option, repair or replace such defective goods; provided, however, that One Source Retail & Hospitality shall not be responsible for any removal, installation, or reinstallation costs; and provided further, however, that if any such remedy shall fail of its essential purpose, One Source Retail & Hospitality’s maximum and sole liability arising from or related to the Contract, or from any attempts to repair or replace such defective goods, shall be limited to payment of the purchase price, or the allocable portion of the purchase price which relates to the defective goods furnished under the Contract. THE FOREGOING WARRANTY AND REMEDY SHALL BE CUSTOMER'S SOLE AND EXCLUSIVE WARRANTY AND REMEDY UNDER ANY AND ALL CIRCUMSTANCES. The foregoing warranty shall be void if any of the following shall occur: (1) Customer's improper storage, transportation, installation, repair, or use of the goods; (2) unauthorized modification or misuse of the goods; (3) negligent use of cushions, such as ripping off the seat, cutting with a knife, or similar actions; (4) damage resulting from lack of care or maintenance; (5) Customer's failure to pay the invoice in full under the terms of the Contract; (6) Customer's return of any goods without an official return authorization number; or (7) Customer's violation of these Terms and Conditions or any other provisions of the Contract. Upholstery and other materials not manufactured by One Source Retail & Hospitality are covered solely by the manufacturer's warranty, if any.

DISCLAIMER OF ALL OTHER WARRANTIES: One Source Retail & Hospitality makes no warranty other than the limited warranty described or provided above. THIS LIMITED WARRANTY IS EXPRESSLY IN LIEU OF ANY AND ALL OTHER EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED. In no event shall One Source Retail & Hospitality be liable for, and Customer shall indemnify and hold One Source Retail & Hospitality harmless from: (1) any and all damages, direct, indirect, general, special, incidental, or consequential, WHETHER RESULTING FROM ONE SOURCE RETAIL & HOSPITALITY’S NEGLIGENCE OR OTHERWISE, arising out of, in connection with, or resulting from the goods sold hereunder, and (2) any and all claims, actions, suits, and proceedings which may be instituted in respect to the foregoing including, without limitation, those made by subsequent owners and users of the goods.
